Terms of Service

These Terms of Service ("Terms") govern your use of Talkrly, operated by SYNCWAVE LTD (registered at 18th & 19th Floors, 100 Bishopsgate, London, United Kingdom, EC2N 4AG) ("Talkrly", "we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of Terms

By creating an account, subscribing to a paid plan, or otherwise accessing Talkrly, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of Service

Talkrly is a subscription-based AI language learning service that provides voice-driven conversation practice, pronunciation analysis, grammar feedback, scenario lessons, and progress tracking across nine supported languages. The Service is delivered through our website and applications and depends on third-party AI providers for speech recognition, language modeling, and audio synthesis.

3. Eligibility

You must be at least 13 years old to create an account. Users between 13 and the age of majority in their jurisdiction must have the consent of a parent or legal guardian to use the Service and to be bound by these Terms. We may require verification of consent or age at any time.

4. Account Registration and Security

You agree to provide accurate, current, and complete information when registering and to keep it up to date. You are responsible for safeguarding your password and for any activity that occurs under your account. Notify us immediately at support@talkrly.app if you suspect unauthorized access. You may not share, transfer, or sell your account.

5. Subscription Terms and Auto-Renewal

5.1 Plans

Try It Out: $4.99 USD for the first 7 days, then automatically converts to a monthly subscription at $28.80/month.
Weekly: $8.99 USD billed weekly, auto-renews every 7 days.
Monthly: $19.99 USD billed monthly, auto-renews every calendar month.
Annual: $49.99 USD billed annually, auto-renews every 12 months.

5.2 Auto-Renewal

All Talkrly subscriptions automatically renew at the end of each billing period at the then-current rate for the plan you selected, unless you cancel before the period ends. By subscribing, you authorize Talkrly and its payment processors to charge your selected payment method on a recurring basis. See our Subscription Terms for full details.

6. Cancellation Policy

You may cancel your subscription at any time:

Sign in to your Talkrly account.
Go to Settings → Subscription.
Click Cancel Subscription and confirm.
Or email support@talkrly.app from your account address with the subject "Cancel subscription".

Cancellation takes effect at the end of your current billing period. You retain access until then, and will not be charged again after cancellation.

7. Refund Policy

You may request a full refund within 14 days of your initial purchase. Renewal charges are generally non-refundable, but may be reviewed in exceptional cases if requested within 7 days of the renewal charge. Full details, including how to request a refund, are set out in our Refund Policy.

8. User Content and Conduct

"User Content" includes the voice recordings, transcripts, text inputs, and other materials you submit to Talkrly. You retain ownership of your User Content and represent that you have the right to submit it. You agree to use the Service respectfully and not to submit content that is unlawful, harmful, harassing, hateful, sexually explicit involving minors, or infringes the rights of others.

9. Prohibited Use

No abusive, harassing, threatening, or hateful conduct toward others or the AI.
No scraping, crawling, or automated extraction of the Service or its outputs.
No resale, sublicensing, or commercial redistribution of access to Talkrly.
No use of the Service for illegal activity or to violate any applicable law.
No reverse engineering, decompilation, or attempts to discover source code or model weights.
No uploading malware, attempting to disrupt the Service, or circumventing security controls.

10. Intellectual Property

Talkrly - including all software, content, designs, trademarks, lesson materials, and underlying models - is owned by SYNCWAVE LTD or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial language learning, subject to these Terms. You grant Talkrly a worldwide, non-exclusive, royalty-free license to process, transmit, store, and analyze your User Content (including voice data) solely to provide, secure, and improve the Service.

11. Third-Party Services

Talkrly relies on third-party providers for hosting, AI speech recognition and language modeling, analytics, email delivery, and payment processing. Your use of these features is also subject to the applicable third-party terms. We are not responsible for third-party services, and their availability is not guaranteed.

12. Disclaimers and Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Talkrly is an educational tool and does not guarantee any specific fluency, proficiency, or learning outcome. AI-generated feedback may contain errors and should not be relied upon as authoritative linguistic, professional, or translation advice.

13. Limitation of Liability

To the maximum extent permitted by law, SYNCWAVE LTD and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability for any claim arising under these Terms shall not exceed the greater of (a) the amount you paid to Talkrly in the 12 months preceding the claim or (b) USD $100.

14. Indemnification

You agree to indemnify, defend, and hold harmless SYNCWAVE LTD, its affiliates, and its and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any applicable law or third-party right.

15. Termination

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, abused the Service, or engaged in fraudulent or illegal activity. You may stop using the Service at any time by canceling your subscription and closing your account. Upon termination, your right to access the Service ceases immediately; provisions that by their nature should survive termination will survive.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Nothing in these Terms affects mandatory consumer rights granted to you in your country of residence.

18. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be addressed by good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days of written notice, it shall be submitted to the exclusive jurisdiction of the courts of England and Wales, subject to any mandatory consumer rights you may have to bring proceedings in your country of residence.
